Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Specdra’s websites, applications, and related services (collectively, the “Services”), provided by Specdra LLC (“Specdra,” “we,” “us,” or “our”). By accessing or using the Services, or by clicking to accept these Terms, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.
1. Eligibility and Accounts. You must be at least 18 years old and able to form a binding contract to use the Services. To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Authentication and account management are provided through our third-party provider (Clerk). Notify us promptly at support@specdra.com if you suspect any unauthorized use of your account.
2. The Services. Specdra provides software that uses automation and artificial intelligence to read commercial real estate lease documents and related materials and to extract, structure, summarize, reconcile, and flag information from them. We may update, modify, or improve the Services from time to time, and we may add or remove features at our discretion.
3. Subscriptions, Fees, and Payment.Certain features of the Services are offered on a paid subscription basis. By selecting a paid plan, you agree to the pricing, usage limits, and billing terms presented at the time of purchase. Billing: billing and payments are processed through our providers (Clerk and Stripe), and you authorize us and our providers to charge your payment method for all applicable fees. Renewals: subscriptions automatically renew for successive periods unless cancelled before the end of the then-current period, and you can cancel at any time, effective at the end of the current billing period. Usage limits: plans may include limits (such as monthly upload or custom-term allowances), and usage beyond your plan’s limits may require an upgrade or be subject to additional fees. Taxes: fees are exclusive of taxes, which you are responsible for, except for taxes based on our net income. Changes: we may change our fees on a prospective basis, and changes will not apply retroactively to the current paid period. Free trials: we may offer free trials or a free tier, such access is governed by these Terms in the same way as paid use, and we may modify or discontinue free access at any time. Failed payments: if a payment is declined, reversed, or otherwise fails, we may suspend or limit access to paid features, downgrade your account to a free tier (if available), or suspend the Services until payment is successfully processed. Chargebacks and disputes: if you initiate a chargeback or payment dispute, we may suspend access while the dispute is resolved, and we may provide documentation to payment processors in order to respond. To the maximum extent permitted by law, all fees are non-refundable and final, including for partially used billing periods, unused usage allowances, or if you stop using the Services, except as required by law or expressly stated at purchase.
4. Customer Content.“Customer Content” means the documents, files, data, and other materials you upload or submit to the Services, together with the outputs generated from them. As between you and Specdra, you retain all rights you hold in your Customer Content, and we do not claim ownership of it. You grant Specdra a limited, non-exclusive, worldwide license to host, store, process, transmit, display, and otherwise use Customer Content solely to provide, secure, maintain, and improve the Services for you, and as otherwise described in our Privacy Policy. You represent and warrant that you have all necessary rights, consents, and permissions to submit your Customer Content and to grant the license above, and that your Customer Content and its use with the Services do not violate any law or third-party right.
5. AI Outputs; No Professional Advice.The Services use artificial intelligence to generate abstracts, summaries, extracted data, risk flags, and other outputs (“Outputs”). AI-generated Outputs may be incomplete, inaccurate, or otherwise contain errors, and may not capture every relevant detail of a document. Outputs are provided for informational purposes only and are not a substitute for professional judgment or advice, including legal, financial, accounting, tax, or real estate advice. You are responsible for independently reviewing and verifying Outputs against the source documents before relying on them, and for any decisions you make based on the Services. Specdra is not your lawyer, broker, or advisor, and your use of the Services does not create any such relationship. Descriptions of what the Services may extract, detect, or flag (for example, on our product or feature pages) are illustrative and are not guarantees. The Services may miss terms, issues, conflicts, or omissions, and may not cover every item described. You are responsible for independent verification and for all decisions made based on or despite the Outputs.
6. Acceptable Use.You agree not to, and not to permit others to: use the Services in violation of any applicable law or regulation, or to infringe or misappropriate any third party’s rights; upload content you do not have the right to submit, or that is unlawful, harmful, or malicious (including malware); attempt to gain unauthorized access to, interfere with, or disrupt the Services, their security, or other users; reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent permitted by law; use the Services to build a competing product, or resell or sublicense the Services without our written consent; use automated means to access the Services in a manner that exceeds reasonable use or circumvents usage limits; or remove or obscure any proprietary notices in the Services.
7. Intellectual Property. The Services, including all software, models, designs, text, graphics, and other materials we provide (excluding Customer Content), and all related intellectual property rights, are owned by Specdra or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes during your subscription. We reserve all rights not expressly granted. The Specdra name, logo, and other brand features are trademarks of Specdra LLC, and you may not use them without our prior written permission. If you provide feedback or suggestions about the Services, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.
8. Third-Party Services. The Services rely on, and may integrate with, third-party services and providers (for example, hosting, storage, authentication, payments, AI processing, and email delivery). Your use of those services may be subject to their own terms and policies, and we are not responsible for third-party services we do not control.
9. Confidentiality and Security. We apply administrative, technical, and organizational measures designed to protect Customer Content, as described in our Privacy Policy. However, no method of transmission or storage is completely secure, and you are responsible for maintaining appropriate backups of your own materials and for the security of your account.
10. Term and Termination. These Terms remain in effect while you use the Services. You may stop using the Services and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if your use poses a risk to the Services or others, or as otherwise permitted by law. Upon termination, your right to use the Services ceases. To request deletion of your Customer Content following termination, contact us at support@specdra.com. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and indemnification.
11. Disclaimers.The Services and all Outputs are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Specdra disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that Outputs will be accurate or complete. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
12. Limitation of Liability.To the maximum extent permitted by law, Specdra is not liable for any errors, mistakes, or omissions arising at any step of the process — including upload, processing, Output generation, or your reliance on the Services or Outputs — or for any costs of correction, rework, remediation, or other expenses (such as losses on a transaction, missed deadlines, or decisions made based on or despite the Outputs). To the maximum extent permitted by law, Specdra and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Services, even if advised of the possibility of such damages. To the maximum extent permitted by law, Specdra’s total aggregate liability arising out of or related to these Terms or the Services will not exceed the greater of the amounts you paid to Specdra for the Services in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
13. Indemnification. You agree to indemnify, defend, and hold harmless Specdra and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your use of the Services, or your violation of these Terms or any applicable law or third-party right.
14. Governing Law and Disputes. These Terms are governed by the laws of the State of Arizona, USA, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Arizona, USA, and you consent to personal jurisdiction in those courts, unless otherwise required by applicable law.
15. Changes to These Terms.We may update these Terms from time to time. When we do, we will revise the “Effective date” above and, where appropriate, provide additional notice. Changes are effective when posted, and your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
16. Miscellaneous. These Terms, together with our Privacy Policy and any order or plan terms, constitute the entire agreement between you and Specdra regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any delay or failure to perform due to causes beyond our reasonable control.
